1. Professional use and agreement
These terms form the agreement between Froggies Lab, identified in
the
Legal notice, and you, acting in a professional capacity, or the organisation
on whose behalf you accept these terms. Contract version:
2026-09-25-b2b-v3.
CulminApp is reserved for professional app publishing and advertising activities, including those of businesses and self-employed professionals. Personal use is not offered. You must be at least 18, provide accurate account and billing information and, if acting for an organisation, have authority to bind it. A declaration does not change the legal nature of the customer's actual use or override mandatory law.
You accept these terms and confirm professional use at signup. The plan, trial or subscription offer presented to you (the “Offer”) forms part of the agreement. Its specific commercial terms prevail for the relevant subscription; section 6 prevails for personal data processed on your behalf. You can save or print these terms and request a copy at contact@culminapp.com.
2. Service and access
CulminApp provides analysis of app acquisition, subscription revenue and profitability using authorised third-party connections, and may include AI-assisted features. Available features and usage limits are those of your Offer. You need internet access and the relevant provider accounts and permissions.
You are responsible for accurate account information, authorised access to connected accounts, the lawfulness of data you provide and the actions of users you authorise. Protect your credentials and promptly report suspected unauthorised use. Do not bypass access controls or quotas, interfere with the service, introduce malicious code, access another customer's data or resell the service without written permission. Do not submit passwords, payment card data or sensitive personal data to the assistant.
Reports depend on third-party data, attribution rules, delays, currency conversions and your settings. Projections and AI outputs may be inaccurate or incomplete and do not guarantee revenue, profitability or any advertising result. You must assess outputs before acting and remain responsible for your advertising decisions and budgets. Changes to external accounts require the permissions you grant for the relevant feature.
We use reasonable care to provide and secure the service. No specific uptime, uninterrupted availability or support response time is guaranteed unless separately agreed in writing. Maintenance, incidents and third-party changes may affect access or integrations. This does not exclude our responsibility for our own breaches or applicable statutory obligations.
You retain rights to your data and grant us only the permissions needed to provide, secure and support the service. CulminApp's software and content remain the property of Froggies Lab or their respective owners. You receive a non-exclusive, non-transferable right to use the service for your professional activities during your authorised access period, subject to these terms.
3. Offers and payment
The applicable price schedule is the Offer presented before you confirm a paid subscription. It specifies the fees or calculation method, currency, applicable taxes and whether they are included, billing frequency, usage limits, and any discount, trial or promotional conditions. These commercial details form part of your agreement and can be requested from us. We do not charge an undisclosed fee or paid overage.
Offers may differ between customers, acquisition channels, promotions or pricing tests. The Offer you accept governs your subscription. A different Offer displayed later or to another customer does not automatically change your agreement or create a right to its price. Changes to an existing subscription follow section 4.
Where a trial is offered, its duration, features and limits are stated in the trial Offer. A cardless trial does not create an obligation to pay. Adding a payment method authorises conversion to the paid Offer at the trial's end on the terms displayed before confirmation, unless you cancel renewal beforehand. Adding a card alone does not end the trial early; early paid activation requires a separate confirmation. Without a confirmed payment method, paid access does not start automatically.
Unless the Offer states otherwise, subscription fees are billed in advance and usage-based fees in arrears. Where fees are calculated as a percentage of advertising spend, the rate is specified in the Offer and applies to Apple Ads campaign spend for apps linked to your workspace during the paid service period. Dashboard filters do not reduce that base; trial spend is excluded. The spend period starts with the first full UTC day after paid activation and includes the final billable UTC day. Advertising charges remain separately payable to the advertising platform.
Where spend must be converted, we use historical daily reference exchange rates, or the latest available prior reference rate if that day's rate is unavailable. The rate source and conversion details are available with the billing breakdown or on request; any conversion surcharge must be disclosed in the Offer. Billing can be delayed while source data is verified. Documented late corrections may result in additional charges or credits for the relevant service period.
Payments are processed by our payment provider using your authorised payment method. Payment is due on the date shown before payment confirmation or on the invoice, within applicable statutory limits. Keep billing details current and contact us promptly about errors; this does not shorten statutory rights to dispute a charge. No early-payment discount applies unless expressly agreed.
Where French commercial law applies, overdue invoices accrue late-payment interest without reminder from the day after the due date at the European Central Bank's most recent refinancing rate applicable for the relevant half-year plus ten percentage points, subject to the statutory minimum of three times the French legal interest rate. A EUR 40 recovery fee is due per overdue invoice; documented recovery costs exceeding that amount may also be claimed under the statutory conditions.
4. Duration, cancellation and changes
Your subscription renews for the billing periods stated in your Offer until canceled. Cancel renewal through Settings → Billing before the next renewal. Cancellation takes effect at the end of the current trial or paid period; access continues until then. No new subscription fee is due afterwards, but charges already incurred and documented usage corrections remain payable. A started paid period is not refunded solely because you stop using the service. Remedies for our failure to perform and mandatory rights remain unaffected.
Disconnecting an integration does not cancel the subscription. Contact contact@culminapp.com for account closure, a data return request or cancellation assistance.
We may proportionately suspend access to address non-payment, material breach, unlawful use or a security risk, and terminate for a material breach that remains unremedied after reasonable written notice. Immediate action may be taken when necessary to prevent harm or comply with law; we explain the reason and available remedy as soon as reasonably practicable unless legally prohibited. These measures do not remove accrued payment obligations.
We may improve or change the service. Material adverse changes to paid functionality, contractual terms or subscription prices are notified by email at least 30 days before they apply, allowing you to cancel before the change. Price increases apply only from a subsequent renewal, not to a paid period already underway. If an unavoidable legal or security change must take effect sooner and materially prevents the agreed use, you may end the affected service and receive a refund of unused prepaid fees for it. Publication of a new price or these terms alone does not retrospectively amend an accepted Offer.
5. Liability, confidentiality and law
Each party is responsible for loss caused by its own breach under applicable law. To the extent permitted by law, Froggies Lab is not liable for indirect or consequential loss. A loss is not excluded merely because it concerns revenue, data or advertising spend if it is legally a recoverable direct loss.
Subject to the exceptions below, Froggies Lab's aggregate liability under this agreement is limited to the greater of EUR 500 and the CulminApp fees paid or payable by you for the twelve months preceding the first event giving rise to liability. Fees exclude taxes and advertising charges paid to third parties. Related claims arising from the same event are assessed together.
These exclusions and limits do not apply to fraud, wilful misconduct, gross negligence, death or personal injury, or any liability that cannot lawfully be excluded or limited. They do not deprive an essential contractual obligation of its substance or restrict the rights of data subjects and supervisory authorities under data protection law. They do not limit refunds or credits otherwise due under this agreement.
Each party protects the other's non-public business information and discloses it only to people who need it to perform the agreement and are bound by confidentiality, or as required by law. This does not cover information lawfully public, already known, independently developed or lawfully obtained from another source.
Neither party is responsible for failure caused by an event qualifying as force majeure under French law, for the duration and extent of its effect, provided it gives prompt notice and takes reasonable steps to limit disruption. An ordinary provider outage does not automatically qualify as force majeure.
Send complaints to contact@culminapp.com. French law applies, subject to mandatory rules. Disputes go before the courts having jurisdiction under applicable procedural rules. If a clause is unenforceable, the remaining terms continue to apply insofar as the agreement can legally continue.
6. Data processing agreement
This section applies only to personal data Froggies Lab processes on the customer's behalf. The customer acts as controller, or as a processor authorised by its controller to appoint us. Our own account, billing and website processing is described in the Privacy policy. Truly anonymous statistics fall outside this section.
Scope: for the service's duration and the agreed return/deletion period, we retrieve, store, organise, analyse, display and delete connected account information, report data, identifiers and names, annotations and assistant questions/context supplied by the customer. This may concern the customer's staff, business contacts and any identifiable app users present in the supplied data. Sensitive data is not required. The purpose is to supply, support and secure the requested analysis service.
Instructions and confidentiality: we process data only on documented instructions, including for transfers, unless required by law; we inform the customer of such a requirement unless prohibited. These terms and the customer's service settings form the initial instructions. We promptly report an instruction we consider unlawful. Authorised personnel are bound by confidentiality. The customer ensures a lawful basis, necessary notices and lawful instructions.
Security and assistance: we implement appropriate technical and organisational measures under Article 32, including access controls, tenant isolation, encrypted connection credentials and secure transport, together with access management, incident response and deletion procedures. We assist with data-subject requests, security obligations, breach notifications, impact assessments and prior consultation, considering the processing and information available. We forward requests concerning entrusted data rather than deciding them independently. We notify the customer without undue delay after becoming aware of a personal data breach, supplying available facts, likely consequences and mitigation measures, with updates as information becomes available.
Subprocessors: the customer gives general written authorisation to the providers in the schedule below for the indicated tasks. We impose equivalent data protection duties and remain responsible for their performance. We give advance written notice of additions or replacements, allowing a reasonable opportunity to object on data protection grounds before the new provider begins processing entrusted data. If no reasonable solution is available, the affected processing ends and any unused prepaid affected service is refunded.

Countries shown above identify the providers' legal entities, not exclusive data-hosting locations. Processing and support may involve other countries. Information about the locations and safeguards applicable to CulminApp is available on request.
Transfers: processing outside the EEA requires a valid GDPR Chapter V mechanism, such as an applicable adequacy decision or standard contractual clauses with any necessary supplementary measures. We provide information about locations and safeguards on request; EU hosting alone does not exclude international access.
End of processing: at the customer's choice, we return or delete entrusted personal data at the end of the service, and delete copies unless law requires retention. Requests go to contact@culminapp.com. The obligation to delete copies also covers backups. Subscription cancellation alone does not request account closure.
Accountability: we make available information necessary to demonstrate compliance and allow and contribute to audits, including inspections, by the customer or an authorised independent auditor. Existing documentation or independent audit reports may be used first where sufficient; they do not replace necessary inspections. Audits follow reasonable notice, scope and confidentiality arrangements and protect other customers' data, without obstructing legally required verification. This section prevails for entrusted personal data if another contractual term conflicts.
